01 Agreement to terms
These Terms of Service (“Terms”) are a binding agreement between you and Recruvia LLC, a Delaware limited liability company (“Recruvia,” “we,” “us,” or “our”), governing your access to and use of the Recruvia recruitment platform, websites, and related services (the “Service”). By accessing or using the Service, or by accepting an order for it, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use the Service.
02 Definitions
- Customer — the organization that subscribes to the Service.
- Authorized User — a manager, recruiter, interviewer, or other individual the Customer permits to use the Service.
- Candidate — a job applicant whose information is processed in the Service.
- Customer Data — all data, content, and information that a Customer or its Authorized Users submit to or generate within the Service, including Candidate data.
- Service — the Recruvia platform, its features, websites, APIs, and any hosted career sites.
03 Accounts & eligibility
Recruvia is a business product provisioned through a sales-led process; accounts are created for Customers by Recruvia, not through public self-service signup. You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use. The Customer is responsible for its Authorized Users' compliance with these Terms.
04 Customer responsibilities
You and your Authorized Users agree to:
- Use the Service in compliance with all applicable laws, including employment, anti-discrimination, privacy, and electronic-communication laws.
- Obtain any consents and provide any notices required to collect, process, and message Candidates through the Service, including for SMS, WhatsApp, and email outreach.
- Ensure Customer Data is accurate and that you have the right to submit it.
- Make hiring decisions yourself; Recruvia's analytics and AI-assisted reports are decision-support tools, not automated hiring decisions.
- Maintain appropriate handling of sensitive data, including any EEO or demographic information collected through the Service.
05 Acceptable use
You agree not to:
- Use the Service for unlawful, deceptive, harassing, or discriminatory purposes.
- Send spam or messages to recipients who have not consented or have opted out.
- Upload malware, attempt to breach security, or probe or scan the Service without authorization.
- Reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law.
- Interfere with or disrupt the integrity or performance of the Service, or exceed documented rate limits.
- Use the Service to build a competing product.
We may suspend access to protect the Service or its users, or to comply with the law, and will restore access once the issue is resolved where practicable.
06 Third-party services
The Service integrates with third-party providers — including Google Calendar, Twilio, Zoom, Amazon Web Services, and payment processors. When you connect or use a third-party service, your use is also subject to that provider's terms and privacy policy. Recruvia is not responsible for third-party services, and your connection to them is at your discretion. If a provider changes or discontinues its service, the related features may be affected.
07 Fees & payment
Fees are set out in your order or plan. Unless stated otherwise, subscriptions renew for successive terms, and fees are non-refundable except where required by law. Payments are processed by our providers (including Paddle, acting as merchant of record, and PayPal); applicable taxes may be added. If a payment fails or is overdue, we may suspend the Service after reasonable notice. Plan limits, such as included usage and messaging volumes, are described in your plan.
08 Intellectual property
Recruvia and its licensors own all rights in the Service, including its software, design, trademarks, and content (excluding Customer Data). We grant the Customer a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term for its internal recruiting purposes. You own your Customer Data. You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service. If you send us feedback, we may use it without restriction.
09 Customer data & privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms. For Candidate data, Recruvia acts as the Customer's processor and processes that data on the Customer's instructions. The Customer is responsible for the lawful basis of its processing and for responding to Candidate requests, with our support. We implement reasonable technical and organizational measures to protect Customer Data.
10 Confidentiality
Each party may access the other's confidential information in connection with the Service. Each party agrees to protect the other's confidential information with reasonable care and to use it only to perform under these Terms. This does not apply to information that is public through no fault of the receiving party, was already known, is independently developed, or must be disclosed by law.
11 Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Recruvia disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI or analytics outputs will be accurate or complete. You are responsible for your hiring decisions and for evaluating the suitability of the Service for your needs.
12 Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Recruvia's total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid to Recruvia for the Service in the twelve months before the event giving rise to the claim. These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose.
13 Indemnification
You agree to defend, indemnify, and hold harmless Recruvia and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party, including Candidates.
14 Term & termination
These Terms remain in effect while you use the Service. Either party may terminate for material breach that remains uncured after reasonable notice. We may suspend or terminate access for non-payment, security risk, or unlawful use. On termination, your right to use the Service ends, and we will make Customer Data available for export for a limited period before deletion, except where retention is required by law. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive termination.
15 Governing law & disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration, and each party waives any objection to venue there. If any provision is found unenforceable, the remaining provisions remain in effect.
16 General terms
- Entire agreement. These Terms and any order form are the entire agreement between the parties on this subject and supersede prior agreements.
- Changes. We may update these Terms; material changes take effect on the “Last updated” date, and continued use means acceptance.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Notices. We may provide notices through the Service or by email to your account contact.
